1. Introduction

Please read these Terms of Service (“Terms”) carefully before purchasing, accessing, or using any digital goods provided by RagnoTech Software Solutions (“we,” “us,” or “our”).

We provide digital goods, including software applications, digital licenses, and electronically delivered content (“Digital Goods”).

By purchasing, accessing, or using any Digital Goods, you (“User” or “you”) agree to be bound by these Terms. If you do not agree, you must not access or use the Digital Goods.

By completing a purchase or activating Digital Goods, you expressly request and consent to immediate delivery and activation of the Digital Goods.

2. Changes to Terms

We may update or modify these Terms from time to time for valid reasons, including operational, technical, legal, or business requirements.

Where reasonably possible, we will provide notice of material changes. Updated Terms will take effect upon publication unless otherwise stated.

Changes will not apply retroactively to already purchased Digital Goods unless required for security, legal, or operational necessity.

If you do not agree to the updated Terms, you must discontinue use of the Digital Goods. Continued use after changes take effect constitutes acceptance of the updated Terms.

3. Digital Goods

We provide Digital Goods in the following forms:

  • Free Digital Goods: Provided for evaluation or limited use and may include restrictions, limitations, or reduced functionality.
  • Paid Digital Goods: Provided upon purchase and may require license activation, entitlement validation, or authentication.

We reserve the right to modify or improve Digital Goods to maintain functionality, security, or performance. Where reasonably possible, we will avoid changes that materially reduce core functionality of Paid Digital Goods during an active entitlement period.

We may discontinue Digital Goods where necessary for operational, technical, or business reasons. Where reasonably possible, we will provide advance notice and take reasonable steps to support continued access to already purchased entitlements, where technically feasible.

If the business or distribution of Digital Goods is discontinued or materially impacted, we will take reasonable steps to preserve or restore access to already purchased Digital Goods, where technically feasible, but we do not guarantee perpetual availability of infrastructure, servers, or distribution systems.

For clarity, Digital Goods are provided on a one-time or entitlement basis and are not offered as a continuously maintained, continuously updated, or always-available service. No ongoing maintenance, support, or development obligations are guaranteed.

4. License to Use

  • Free Digital Goods: We grant a limited, non-exclusive, non-transferable, revocable license for evaluation or personal use only.
  • Paid Digital Goods: We grant a limited, non-exclusive, non-transferable license for personal or internal use only, valid for the duration of the purchased entitlement and subject to these Terms.

Paid licenses may be suspended or revoked only in cases of material breach of these Terms, misuse of the Digital Goods, fraud, security risks, or legal/compliance requirements.

All rights not expressly granted are reserved. You may not resell, sub-license, distribute, or transfer access to any Digital Goods.

5. User Responsibilities

You agree that you will not:

  • Use Digital Goods in violation of applicable laws or regulations.
  • Share, resell, or disclose license keys, credentials, or access mechanisms.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, except where such restriction is not permitted by applicable law.
  • Interfere with, disrupt, or compromise the integrity, security, or availability of Digital Goods.

6. Payments

  • Processing: Payments are processed by third-party payment providers acting independently from us.
  • Access: Access to Digital Goods is granted after successful payment confirmation and validation.
  • Responsibility: You are responsible for providing accurate billing and payment information.

7. Refunds and Cancellation Rights

By purchasing Digital Goods, you expressly request immediate delivery and activation of the Digital Goods and acknowledge that access may begin immediately after purchase or activation.

Once delivery or activation has begun, cancellation rights may no longer apply where the Digital Goods have been fully or partially supplied.

Refunds are generally not provided once access has been granted or a license has been activated.

However, if a verified technical defect directly attributable to the Digital Goods prevents access or materially impairs core functionality, you must contact support without undue delay. We will make reasonable efforts to resolve the issue within a reasonable time frame.

If the issue cannot be resolved, we will provide a refund or alternative remedy where reasonably appropriate.

Refunds do not apply to:

  • Change of mind after the payment was processed.
  • Failure to use or access Digital Goods after delivery or activation.
  • Compatibility issues not caused by us.
  • User error, misuse, or improper installation.

8. Third-Party Dependencies

Digital Goods may depend on or interact with third-party services, software, or infrastructure. We do not control and are not responsible for the availability, performance, or changes of third-party services.

9. Restrictions on Use

You may not:

  • Access non-public areas of Digital Goods or underlying systems.
  • Bypass or attempt to bypass licensing, authentication, or security mechanisms.
  • Use automated systems to access or interact with Digital Goods without authorization.
  • Introduce malware, exploit vulnerabilities, or disrupt system functionality.

10. Suspension and Termination

We may suspend or terminate access to Digital Goods if you materially breach these Terms or misuse the Digital Goods.

Where reasonably possible and appropriate, we may provide notice and an opportunity to remedy the breach before termination.

Upon termination, your right to access and use the Digital Goods immediately ceases.

We may modify, discontinue, or remove Digital Goods where necessary for operational, technical, legal, security, or business reasons. Where reasonably possible, we will take reasonable steps to minimize disruption and, where feasible, preserve access to already purchased entitlements.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL GOODS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE.

We do not guarantee that Digital Goods will be uninterrupted, error-free, secure, or compatible with all systems or environments.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION.

You are responsible for maintaining backups of your data and ensuring appropriate safeguards for your systems.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted.

13. Privacy and Data Protection

We process personal data in accordance with applicable data protection principles.

Details regarding data collection, use, and legal bases are described in our Privacy Policy. Where required, you are informed and provided with appropriate choices regarding data processing.

14. Intellectual Property

All Digital Goods, including software, code, design, and related materials, remain the exclusive property of RagnoTech Software Solutions or its licensors.

No ownership rights are transferred to you under these Terms.

15. Governing Law

These Terms are governed by applicable general principles of commercial contract law and interpreted in accordance with standard conflict-of-law principles where relevant.

Nothing in these Terms limits rights that may not be waived or restricted under applicable mandatory consumer protections.

16. Support

Support may be provided at our discretion depending on the Digital Goods. We do not guarantee response times, availability, or resolution outcomes unless explicitly stated.
